Services Terms of Use

1. Introduction

1. These terms of use govern your access to and use of the Services provided, owned and operated by Apple Payments Services Limited (trading as Credit Kudos), a company registered with Companies House in England and Wales under number 09873335, whose principal place of business is at 100 New Bridge Street, London, UK, EC4V 6JA (“Credit Kudos”/“we”/“us”/”our”). Credit Kudos is a trading name of Apple Payments Services Limited. Apple Payments Services Limited is authorised and regulated by the Financial Conduct Authority (ref. 770345 and 795791). Apple Payments Services Limited is a subsidiary of Apple Inc. Please read these terms of use carefully before using the Services. They are a legal agreement between you and Credit Kudos. Using the Services indicates that you accept these terms of use. If you do not accept these terms of use, please do not use the Services and leave the Platform from which they are provided.
2. These terms of use do not apply to your use of the website www.creditkudos.com (“Website”), which is separately governed by the Website Terms of Use.
3. We may revise these terms of use at any time by updating the terms and publishing them on our Website. You will be able to view any updated terms on our Website, and you will have the right to reject any changes by discontinuing use of the Services. If you continue using the Services, we will take it that you have accepted the updated terms of use. You should check the Website from time to time to review the then current terms of use because they will be the ones that are binding on you.

2. Some definitions

The following words and phrases have the following meanings in these terms of use:

1. “Banks” means financial institutions you may hold an account with;
2. “Platform” means the online platform accessed by you after registration for the Services, as updated by Credit Kudos from time to time;
3. “Services” means the transaction processing services provided by us to you via the Platform.

3. The Credit Kudos Services

Credit Kudos is a Credit Reference Agency and Account Information Services Provider (“AISP”), that provides services that help consumer credit firms, identity verification companies, banks, and financial institutions (“Third Parties”) to conduct income verification, identity verification and credit checks.

1. We may collect information about your identity or financial situation from you and from Third Parties. This information may include contact information, account details, payments, transactions, account features and benefits, statements and identity verification.
2. We securely redirect you to each Bank you tell us you have a relationship with. Each Bank verifies your credentials, and with your consent, provides Credit Kudos access to financial data held by that Bank.
3. We then analyse the financial data provided by each Bank. We may provide data and analysis to Third Parties that have provided you with access to our Services and/or from which you are making an application for credit.
4. We do not provide the Third Parties that have provided you with access to our Services and/or from which you are making an application for credit with an opinion on your financial standing or your suitability for being provided credit.

4. Fees and Payment

You do not need to pay us for using the Services. We are paid by the Third Party that has provided you with access to our Services and/or from which you are making an application for credit.

5. Licence Grant and Use of Content

1. In return for you agreeing to comply with these terms of use, Credit Kudos grants you a non exclusive licence to use the Platform on each device (e.g. phone, tablet) you use to access the Services. We only grant this licence to you and you cannot transfer or sell it to anyone else. We grant similar licences to all users of our Platform. The licence we grant is subject to these terms of use and the Privacy Policy and Cookie Policy.
2. You consent to Credit Kudos accessing your bank, credit card, and financial accounts and processing the data contained within those accounts subject to these terms of use and the Privacy Policy and Cookie Policy.
3. All images, text, icons and other content on the Platform (“Content”), as well as the arrangement of the Content on the Platform, is protected by copyright and other intellectual property rights. Except as provided in these terms of use, or otherwise in writing by Credit Kudos, you are not granted any licence to use the Content or its arrangement. Nothing in these terms of use grants you a licence to use any Credit Kudos trade marks or the trade marks of any third parties on the Platform.
4. If you breach any of the terms in these terms of use, your permission to use the Platform and the Services automatically ends. In addition, Credit Kudos has the right to block, restrict, disable, suspend or terminate your access to all or any part of the Platform, Services or Content at any time in its own discretion without liability to you.

6. Your Access to Our Services

1. While Credit Kudos endeavours to ensure that the Platform and the Services are normally available 24 hours a day, Credit Kudos is not be liable if for any reason they are unavailable at any time or for any period.
2. Access to the Platform and the Services may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond Credit Kudos’ control.
3. You must not use the Platform or the Services if you are under the age of 18.

7. Your Privacy

Credit Kudos is committed to respecting your privacy and the privacy of all individuals using the Platform and the Services. More information regarding how Credit Kudos may use your personal data can be found in the Privacy Policy and Cookie Policy which form part of these terms of use by reference.

8. Restrictions

You must not:

1. use the Platform and/or Services in any unlawful or technically harmful manner;
2. use the Platform and/or Services for any non personal, commercial purposes;
3. misuse the Platform and/or Services (including, without limitation, by hacking or inserting malicious code);
4. resell the Platform and/or Services;
5. infringe our or any third party’s intellectual property rights in your use of the Platform, Services and/or its Content;
6. copy, republish, frame, link to, download, transmit, modify, adapt, rent, lease, loan, sell, assign, distribute, license or sublicense the Platform or any of the Content. No copyright and/or other intellectual property notices or watermarks on any Content may be deleted or modified.
7. disassemble, decompile, reverse-engineer or create derivative works based on the whole or any part of the Platform except to the extent allowed by law.
8. frame or use any framing techniques to enclose the Platform or any part of it;
9. take any action that in our sole discretion places an unreasonable or disproportionately large load on servers or other infrastructure used by us; or
10. use the Platform and/or Services in any way which may cause, or be likely to cause, access to or use of the Platform and/or Services to be interrupted, damaged or impaired in any way.

9. Disclaimers

1. While Credit Kudos endeavours to ensure that the content on the Platform is correct, Credit Kudos does not warrant the accuracy and completeness of the such content. Credit Kudos may change the content at any time without notice. The content may be out of date and Credit Kudos makes no commitment to update such material.
2. Before you apply for credit from a Third Party (e.g., a bank or credit card provider), it is very important that you check all of the information held by that Third Party about you to ensure it is correct, complete and accurate. It is your responsibility to identify and correct any mistakes or errors in the information held by the Third Party about you before you apply for credit.
3. If you are in any doubt as to whether any information is relevant or required to be disclosed or that something may be incorrect you should disclose it to the Third Party before you apply for the credit.
4. It is very important before you apply for credit that you carefully read the terms and conditions which apply to the offer of that credit, the credit provider’s terms and conditions and any other documentation that applies to that credit product. You must make sure that you understand all the details of the credit product, for example the interest rate, any early redemption charges, restrictions, exclusions, conditions and obligations which apply to the product. It is your responsibility to ensure that the credit product matches your requirements and that you agree to the terms and conditions of the credit product before you apply for it. We accept no responsibility or liability whatsoever for any loss or damage you may suffer or incur in the event that any credit product you apply for does not meet your requirements or is not suitable for you.
5. The material on the Platform is provided “as is”, without any conditions, warranties or other terms of any kind. Accordingly, to the maximum extent permitted by law, Credit Kudos provides you with the Platform and the Services on the basis that Credit Kudos excludes all representations, warranties, conditions and other terms (including, without limitation, the conditions implied by law of satisfactory quality, fitness for purpose and the use of reasonable care and skill) which, but for these terms of use, might have effect in relation to the Platform and Services.

10. Indemnity

You agree to indemnify Credit Kudos against any loss, damages, costs or expenses which are awarded against or incurred by Credit Kudos as a result of any claim or threatened claim (including any claim or threatened claim by a third party) arising out of or related to:

1. any breach by you of any of these terms of use or applicable law;
2. your misuse of the Platform and/or the Services;
3. your infringement of intellectual property rights; and/or
4. your failure to provide accurate, up to date information.

11. Liability

1. Nothing in these terms of use shall exclude or limit either your or Credit Kudos’s liability for:
   1. death or personal injury resulting from the negligence of the other or their servants, agents or employees; or
   2. fraud or fraudulent misrepresentation.
2. Save to the extent that these terms of use state otherwise, nothing in these terms of use shall exclude or limit your liability under clause 10 (Indemnity).
3. Subject to clauses 11.1 and 11.2, neither you nor Credit Kudos shall be liable in contract, tort (including, without limitation, negligence), pre-contract or other representations (other than fraudulent misrepresentation) or otherwise arising out of or in connection with these terms of use for any economic losses (including, without limitation, loss of revenues, profits, contracts, data, business, anticipated savings or cost of substitute services);
   1. any loss of goodwill or reputation; or
   2. any special, indirect or consequential losses;
4. in any case, whether or not such losses were within the contemplation of you or Credit Kudos at the date of these terms of use, suffered or incurred by you or Credit Kudos arising out of or in connection with the provisions of, or any matter under, these terms of use.
5. Subject to clauses 11.1, 11.2 and 11.3, Credit Kudos’ total liability to you in relation to all events or series of connected events occurring under these terms of use (and whether the liability arises because of breach of contract, negligence or for any other reason) shall be limited to £250.
6. Nothing in these terms of use excludes any statutory rights which may apply to your use of the Platform and/or the Services which cannot be excluded, restricted or modified by contract.

12. Term and Termination

1. You may stop using the Platform and the Services at any time, at which time these terms of use will terminate. However, you will continue to have certain obligations under these terms of use that by their nature apply to you even when you longer use the Platform or Services, for example Restrictions (Section 8), Indemnity (Section 10), Liability (Section 11).
2. We may terminate these terms of use immediately by written notice to you:
   1. if you commit a material or persistent breach of these terms of use which you fail to remedy (if remediable) within 14 days after the service of written notice requiring you to do so; and/or
   2. if you breach clause 8.1.
3. On termination for any reason:
   1. all rights granted to you under these terms of use shall cease; and
   2. you must immediately cease all activities authorised by these terms of use.

13. Miscellaneous

1. To contact us or make a complaint about the Services, you can send your communication to us by e-mail to Credit Kudos at support@creditkudos.com. If you have made a complaint and you are unhappy with how we have treated it, you may be able to refer your complaint to the Financial Ombudsman Service (FOS). 2. All communications in relation to these terms of use or the Services will be in English.
3. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these terms of use that is caused by any act or event beyond our reasonable control, including non availability of the services caused by your own error, unavailability of third party platforms, errors caused by API providers (or similar), network problems or outages (“Event Outside Our Control”). If an Event Outside Our Control takes place that affects the performance of our obligations under these terms of use:
   1. our obligations under these terms of use shall be suspended for the duration of the Event Outside Our Control; and
   2. we will use our reasonable endeavours to find a solution by which our obligations under these terms of use may be performed despite the Event Outside Our Control.
4. We may transfer our rights and obligations under these terms of use to another organisation, but this will not affect your rights or our obligations under these terms of use.
5. You may only transfer your rights or obligations under these terms of use to another person if we agree in writing.
6. A person who is not a party to these terms of use has no right to enforce any term of these terms of use.
7. If we fail to insist that you perform any of your obligations under these terms of use, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.
8. Each of the conditions of these terms of use operates separately. If any court or competent authority decides that any of them are unlawful or unenforceable, the remaining conditions will remain in full force and effect.
9. These terms of use shall be governed by and construed in accordance with English law. Disputes arising in connection with these terms of use shall be subject to the exclusive jurisdiction of the English courts. Credit Kudos is a trading name of Apple Payments Services Limited.
